Orlen withdrew from the plans to buy GA Polyolefins, but talks with the Azoty Group are ongoing. Companies are looking for alternative forms of cooperation.

Orlen will not take over the shares of GA Polyolefins, which is responsible for the implementation of the Polimery Police project – this is the result of the latest message of Grupa Azoty. Despite the lack of interest in the purchase, the fuel group declared the desire to continue the conversations to develop another form of cooperation.

On July 14, 2025, Grupa Azoty signed another annex to the Polimery Polimei project to the Police Polimery project of the cooperation and stabilization of December 19, 2024. The date of its validity was extended to July 31, 2025. On the same day, the agreement of January 16, 2025, concluded between the Azoty Group, its subsidiaries GA Police and Ga Polyolefins, and Orlen – also until the end of July.

As part of ongoing talks, Orlen officially announced that he was not planning to purchase either the entire package of shares or their parts in Ga Polyolefins. At the same time, he noted that he did not exclude further cooperation and is open to other possibilities of involvement in the project.

Further cooperation

– According to the declarations submitted, Orlen remains ready to continue the dialogue and seek how to manage the GA Polyolefins assets – said Andrzej Skolmowski, president of Grupa Azoty. He added that all parties expressed their willingness to continue cooperation and agree on a favorable partnership formula, which will not include the direct acquisition of the actions of a special purpose company.

GA Polyolefins is a subsidiary of Grupa Azoty, created to implement a strategic investment in Police. The Polimea Police project is one of the largest chemical complexes of this type in the region. Grupa Azoty remains one of the leading producers in Europe in the fertilizer and chemical sector-it ranks second among the producers of nitrogen and multi-component fertilizers in the EU. In addition, it also operates in the area of melamine, polyamide, oxo alcohols, plasticizers and titanium white.
